Terms & Conditions

OrePac’s Terms of Use and Privacy Policy and all other terms and conditions set forth in this Agreement may be revised by OrePac, in its sole discretion, at any time and from time to time without notice to You or anyone else. Therefore, You must periodically visit OrePac’s website to review all updated and current terms and conditions to which you are bound. By continuing to use WebTrack, You automatically agree to accept and be bound by all such revisions; otherwise, you must promptly close and cease using your WebTrack account.

OrePac does hereby grant You a limited, revocable, terminable, and nonexclusive license for You to access the information displayed via WebTrack with respect to Your account; and, such information is provided as a convenience only and may be used only for informational purposes. You acknowledge and agree that only certain specified users may see summarized financial data (e.g., aging, amount owed, and order volume). All information provided via WebTrack is personal to You and is proprietary and confidential and must not be shared with any unauthorized person. You must not (i) use WebTrack for any purpose except as expressly intended by OrePac, (ii) make Your account or WebTrack accessible to any unauthorized person, (iii) expose WebTrack to any computer virus, "bot", or filter, or (iv) hack, decompile, or otherwise reverse-engineer WebTrack. You acknowledge that OrePac exclusively owns all rights in WebTrack, in all of the WebTrack data, information, accounts, and software, and is all other intellectual property rights referenced in this Agreement, including, but not limited to, all copyrights, trademarks, and trade secrets.

At any time and without notice to You or anyone else, OrePac may, in its sole discretion, (i) terminate this Agreement and Customer’s access to WebTrack, or (ii) cease operating WebTrack; and, in any event, You do hereby fully and irrevocably waive and disclaim any and all rights and damages that arise from or relate to such termination or cessation, including, but not limited to, business interruption, lost profits, or breach of contract.

Customer does hereby unconditionally and irrevocable consent to the electronic transmission of all WebTrack content.

By using WebTrack, You do hereby agree (i) to treat all WebTrack information and trade secrets as strictly confidential, (ii) to not transfer any WebTrack information to any unauthorized person, and (iii) to indemnify and hold harmless OrePac and its officers, employees, agents, successors, and assigns from and against any and all claims, actions, demands, losses, damages, liabilities, judgments, costs, and expenses, including, but not limited to, attorneys’ fees incurred at trial, on appeal, or otherwise, that arise from or relate to any breach of this Agreement by You or Your employees or anyone else gaining, directly or indirectly, access to WebTrack.

Although OrePac may use its reasonable efforts to provide accurate and updated information via WebTrack, Customer acknowledges and agrees that OrePac is under no obligation to do so. OrePac makes no representation or warranty about the sustainability, reliability, availability, timeliness, or accuracy of any information obtained via WebTrack. OrePac is not liable for any direct, indirect, incidental, punitive, special, consequential, or other damages whatsoever, including, but not limited to, data loss, loss of use, lost profits, lost goodwill, costs of substitutes, or other tangible or intangible losses that relate to or arise from Your use or anyone else’s use of WebTrack or with any delay or inability to use WebTrack. OrePac is not responsible for any reliance by You or anyone else upon information obtained via WebTrack, whether or not it results in any mistakes, omissions, interruptions, delays in operation or transmission, or other failure of performance. Certain states do not permit those limitations, so they might not apply to Customer.

If Customer or any of Customer employees are dissatisfied with any portion of WebTrack or with any of the terms and conditions of this Agreement, including OrePac’s Terms of Use and Privacy Policy, then the sole and exclusive remedy is to cease using WebTrack and all information obtained via WebTrack.
